1. Legal Framework & Acceptance of Terms

This document constitutes a binding legal agreement between you ("the User," "Customer," or "Reseller") and Allo Gadgets ("we," "us," or "our"), an enterprise operating under Bitlife Tech Solutions Ltd. By accessing our physical location, browsing our online e-commerce platforms, ordering devices via our digital interfaces, or finalizing a trade-in transaction, you explicitly acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions.

If you do not agree to these terms, you must immediately halt all use of our platforms, services, and commercial channels.

2. E-Commerce Transactions, Stock Availability & Pricing

We make every effort to display consumer electronics retail metrics accurately on our platforms. However, operational realities require the following stipulations:

• Inventory Adjustments: All device listings, including smartphones, laptops, and smartwatches, are subject to real-time warehouse availability. An order confirmation does not guarantee immediate distribution if stock variances occur.
• Pricing & Error Intercepts: In the event that an item is mistakenly listed with an incorrect price or specification due to a data-entry error, we reserve the right to cancel any transaction placed for that item prior to dispatch, issuing a full refund where applicable.
• Payment Protocols: All digital financial checkouts, including automated Safaricom M-PESA STK pushes and bank transfers, must be fully cleared by our financial infrastructure before any hardware assets leave our physical possession.

3. Buy Now Pay Later (BNPL) & Weekly Payment Configurations

For customers utilizing our structured product financing or Buy Now Pay Later (BNPL) program for premium hardware items (e.g., Apple iPhone, iPad, or MacBook suites), the following terms strictly apply:

Default Notice: Failure to meet payment dates may result in immediate device lockouts via hardware management software profiles, repossession of the asset, or formal reporting to regulatory credit registries in Kenya.

4. Reseller Management & Consignment Models

B2B entities and independent agents leveraging our platform's Reseller Management Module are bound by specific structural criteria:

• Consignment Ownership: All hardware distributed to approved resellers under a consignment framework remains the absolute intellectual and physical property of Bitlife Technologies Limited until a full wholesale payout is completed.
• Audit Access: Resellers must maintain clear physical access logs. We retain the right to conduct unannounced inventory reconciliations of any consigned devices within standard business hours.

5. Hardware Verification, IMEI Logs & Anti-Theft Policy

To eliminate trade in fraudulent, blacklisted, or stolen devices, our security engine logs strict tracking variables:

Every smartphone, tablet, and computer passing through our systems has its IMEI number and Serial Number cross-referenced with global registries. By initiating a trade-in request or custom order request, you represent and warrant that you are the lawful owner of the device and that it is free from all hidden liens, encumbrances, or criminal tracking records.

6. Limitation of Liability

To the maximum extent permitted by the laws of Kenya, Bitlife Tech Solutions Ltd and its subsidiaries shall not be liable for any indirect, incidental, special, exemplary, or consequential damages arising out of your use or inability to use our consumer electronics, platform features, or financial interfaces. This includes, without limitation, damages for loss of profits, data corruption, or hardware downtime issues.

7. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by, interpreted, and enforced in accordance with the Laws of the Republic of Kenya. Any legal dispute, claim, or difference arising directly from our commercial operations that cannot be amicably settled out of court shall be referred to arbitration or appropriate judicial tribunals within Nairobi County.
